TERMS OF SALE AND LIABILITY WAIVER

PLEASE READ THESE TERMS CAREFULLY BEFORE PURCHASING ANY PRODUCTS. BY PLACING AN ORDER OR ACCEPTING DELIVERY OF ANY PRODUCT FROM SUPERAREA, YOU AGREE TO BE BOUND BY THESE TERMS OF SALE AND LIABILITY WAIVER.

1. DEFINITIONS

"Company," "Superare," "we," "us," or "our" refers to ChannelSOC, LLC dba Superare, a Florida limited liability company.

"Customer," "Buyer," "you," or "your" refers to any individual or entity that purchases, receives, or uses Products from Superare.

"Products" refers to any and all items manufactured by Superare using additive manufacturing (3D printing) technology, including but not limited to prototypes, custom parts, decorative items, replacement components, and any other printed goods.

2. PRODUCT DESCRIPTION AND LIMITATIONS

2.1 All Products are manufactured using Fused Deposition Modeling (FDM) additive manufacturing technology with thermoplastic materials including, but not limited to, PLA, PETG, ABS, and Nylon.

2.2 Products are intended for general consumer and commercial use only, including decorative purposes, non-critical replacement parts, prototypes, and hobby/craft applications.

2.3 Products are NOT designed, manufactured, tested, or certified for use in:

(a) Medical devices, implants, or healthcare applications

(b) Aerospace or aviation components

(c) Automotive safety-critical parts

(d) Weapons, firearms, or ammunition components

(e) Life-safety or load-bearing structural applications

(f) Any application where failure could result in death, personal injury, or significant property damage

(g) Food-contact applications unless specifically designated as food-safe

3. PAYMENT TERMS

3.1 Payment is required in full before production begins. Superare will not commence printing until payment has been received and confirmed.

3.2 Accepted payment methods include credit card, debit card, ACH transfer, and other methods as indicated on the invoice.

3.3 For established customers with a history of completed orders, Superare may, at its sole discretion, offer alternative payment arrangements.

3.4 All prices are quoted in US Dollars. Sales tax will be applied where required by law.

4. QUOTES AND ESTIMATES

4.1 All quotes are valid for thirty (30) days from the date of issue unless otherwise specified in writing.

4.2 Quotes are estimates based on the information provided at the time of inquiry. Final pricing may vary based on actual file complexity, print settings, and material requirements upon review of the 3D file.

4.3 Superare reserves the right to adjust pricing if the scope of work changes or if additional requirements are identified during production planning.

5. ORDER CANCELLATION

5.1 Orders may be cancelled without penalty at any time before printing begins. A full refund will be issued for cancelled orders that have not entered production.

5.2 Once printing has commenced, orders cannot be cancelled. Customer is responsible for full payment of any order that has entered production.

5.3 To request cancellation, Customer must contact Superare in writing at support@superareusa.com.

6. LEAD TIMES AND DELIVERY

6.1 All lead times are estimates only and are not guaranteed. Typical production time ranges from a few hours to 24 hours depending on part size, complexity, and quantity.

6.2 Lead times do not include shipping time. Shipping estimates will be provided separately.

6.3 Superare will make reasonable efforts to meet estimated delivery dates but shall not be liable for any delays.

6.4 Rush orders may be available for an additional fee, subject to production capacity.

7. DESIGN APPROVAL

7.1 Customer must approve the final design and specifications before production begins. Approval may be provided via email, electronic signature, or other written confirmation.

7.2 Once Customer provides design approval, any subsequent changes may result in additional charges and extended lead times.

7.3 Superare is not responsible for errors in Customer-provided designs, files, or specifications that were approved by Customer prior to production.

8. FILE HANDLING AND CONFIDENTIALITY

8.1 All Customer-provided 3D files are stored on secure servers and treated as confidential.

8.2 Files are retained for potential future orders and quality assurance purposes unless Customer requests deletion.

8.3 Upon written request, Superare will permanently delete Customer files within fourteen (14) business days.

8.4 Superare will not share, sell, or distribute Customer files to any third party without express written consent.

9. SHIPPING AND RISK OF LOSS

9.1 Risk of loss transfers to Customer upon delivery. Superare is not responsible for damage or loss that occurs during shipping.

9.2 Shipping insurance is available upon request. Customer is responsible for any additional insurance costs.

9.3 Customer must inspect all Products upon receipt and report any shipping damage within forty-eight (48) hours of delivery.

9.4 Local pickup is available by appointment at our Palm Beach County, Florida location.

10. ASSUMPTION OF RISK

10.1 Customer acknowledges and understands that 3D printed products have inherent limitations in strength, durability, and consistency compared to traditionally manufactured products.

10.2 Customer acknowledges that material properties, layer adhesion, and structural integrity may vary between prints and may be affected by environmental conditions, storage, handling, and use.

10.3 BY PURCHASING OR ACCEPTING ANY PRODUCT, CUSTOMER VOLUNTARILY ASSUMES ALL RISKS ASSOCIATED WITH THE USE, HANDLING, STORAGE, AND APPLICATION OF THE PRODUCT, WHETHER KNOWN OR UNKNOWN, FORESEEABLE OR UNFORESEEABLE.

11. DISCLAIMER OF WARRANTIES

11.1 ALL PRODUCTS ARE PROVIDED 'AS IS' AND 'AS AVAILABLE' WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

11.2 TO THE FULLEST EXTENT PERMITTED BY LAW, SUPERAREA EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

(a) Any implied warranty of merchantability

(b) Any implied warranty of fitness for a particular purpose

(c) Any implied warranty of non-infringement

(d) Any warranty arising from course of dealing or usage of trade

11.3 Superare does not warrant that any Product will meet Customer's requirements, expectations, or intended use, or that Products will be uninterrupted, error-free, or free from defects.

12. LIMITATION OF LIABILITY

12.1 TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL SUPERAREA, ITS OWNERS, MEMBERS, MANAGERS, OFFICERS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY:

(a) Direct, indirect, incidental, special, consequential, or punitive damages

(b) Personal injury, death, or property damage

(c) Lost profits, revenue, data, or business opportunities

(d) Any other losses or damages of any kind

arising out of or in connection with the use, inability to use, performance, or failure of any Product, regardless of the theory of liability (contract, tort, strict liability, or otherwise), even if Superare has been advised of the possibility of such damages.

12.2 IN ANY EVENT, SUPERAREA'S TOTAL CUMULATIVE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO ANY PRODUCT SHALL NOT EXCEED THE PURCHASE PRICE ACTUALLY PAID BY CUSTOMER FOR THAT SPECIFIC PRODUCT.

13. INDEMNIFICATION

13.1 Customer agrees to indemnify, defend, and hold harmless Superare, ChannelSOC, LLC, and their respective owners, members, managers, officers, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

(a) Customer's use, misuse, or modification of any Product

(b) Customer's violation of these Terms

(c) Customer's violation of any applicable law or regulation

(d) Any claim by a third party arising from Customer's use or distribution of any Product

(e) Use of any Product for prohibited applications as described in Section 2.3

14. CUSTOMER RESPONSIBILITIES

14.1 Customer is solely responsible for determining the suitability of any Product for Customer's intended use.

14.2 Customer shall inspect all Products upon receipt and notify Superare of any visible defects within seven (7) days of delivery.

14.3 Customer shall not use any Product for any prohibited application listed in Section 2.3.

14.4 If Customer resells, distributes, or incorporates any Product into another product, Customer shall provide adequate warnings and disclaimers to end users and shall not make any representations or warranties on behalf of Superare.

15. REFUNDS AND RETURNS

15.1 Due to the custom nature of 3D printed products, all sales are final. No refunds or returns will be accepted except in cases of Products that are materially different from the agreed specifications.

15.2 Any claim for a defective Product must be made in writing within seven (7) days of receipt. Superare's sole obligation shall be, at its discretion, to replace the defective Product or refund the purchase price.

16. INTELLECTUAL PROPERTY

16.1 Customer represents and warrants that any designs, files, or specifications provided to Superare do not infringe upon any third-party intellectual property rights.

16.2 Customer shall indemnify Superare against any claims of intellectual property infringement arising from Customer-provided designs or specifications.

17. FORCE MAJEURE

17.1 Superare shall not be liable for any delay or failure to perform its obligations under these Terms due to circumstances beyond its reasonable control, including but not limited to: natural disasters, acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, equipment failures, power outages, material shortages, or pandemics.

17.2 In the event of a force majeure, Superare will make reasonable efforts to resume operations as soon as practicable and will communicate with affected Customers regarding revised timelines.

18. GOVERNING LAW AND DISPUTE RESOLUTION

18.1 These Terms shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law principles.

18.2 Any dispute arising out of or relating to these Terms or any Product shall be resolved exclusively in the state or federal courts located in Palm Beach County, Florida. Customer consents to the personal jurisdiction of such courts.

18.3 In any action to enforce these Terms, the prevailing party shall be entitled to recover its reasonable attorneys' fees and costs.

19. SEVERABILITY

If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving the parties' original intent.

20. ENTIRE AGREEMENT

These Terms constitute the entire agreement between Customer and Superare regarding the purchase and use of Products and supersede all prior or contemporaneous communications, representations, or agreements, whether oral or written.

21. MODIFICATIONS

Superare reserves the right to modify these Terms at any time. Updated Terms will be posted on our website and will apply to all orders placed after the effective date of the modification.

22. ACKNOWLEDGMENT AND ACCEPTANCE

BY PLACING AN ORDER, ACCEPTING DELIVERY, OR USING ANY PRODUCT FROM SUPERAREA, CUSTOMER ACKNOWLEDGES THAT CUSTOMER HAS READ, UNDERSTOOD, AND AGREES TO BE BOUND BY THESE TERMS OF SALE AND LIABILITY WAIVER.
